ISO 42001 & responsible AI governance: what good looks like

What does responsible AI governance mean under ISO 42001?

Leadership involvement 

Lead from the front. Your senior management must define AI governance policy, allocate resources, set the risk appetite, and lead by example. If AI influences any of your strategic decisions, AI governance shouldn’t sit with your IT department alone.  

Defined scope 

You must identify how AI impacts your workflows and operations, and which AI systems fall within your AIMS. That includes internally developed models and third-party tools. Beware of underestimating your risk exposure here.  

Lifecycle control 

Good AI governance includes risk assessments during the design, development, validation, deployment, operation, continual improvement and retirement phases of an AI system.  

Transparency and documentation 

If you can’t explain how your system works, what data it uses, or who approved it, you don’t have any governance at all. Make sure you have all your documentation ready, and that you continually add to it as improvements and assessments are made.  

How do you demonstrate that your AI is properly governed? 

The best of intentions is an excellent way to approach your AI governance. However, that alone isn’t enough. ISO 42001 requires demonstrable evidence in the form of documentation. It should include the following:   

A formal AI policy 

Your AI policy should define:  

  • Purpose 
  • Scope 
  • Ethical principles 
  • Accountability structure 
  • Risk management approach 
  • Compliance commitments 

This should align with other frameworks such as ISO 27001 (if you already operate an ISMS). If you can integrate it with this, it reduces duplication and makes your overall governance even tighter.  

Structured AI risk assessments 

Here are a few of the most common risks that using AI introduces:  

  • Biased outputs 
  • Lack of explainability 
  • Model drift 
  • Data quality failures 
  • Third-party dependency risks  

Good governance means you systematically assess these risks by evaluating the likelihood and impact in a standard risk assessment. This means identifying the highest risk factors, documenting your plans to address them, and assigning responsibilities and ownership.  

Defined roles and competence 

You need someone accountable for your AIMS. If you’re a larger corporation, you’ll then also need to delegate teams for each of the following aspects:  

  • Approving AI use cases 
  • Monitoring performance 
  • Reviewing risk assessments 
  • Escalating incidents  

Of course, all your decision-makers must be competent. That doesn’t mean everyone has to become a data scientist. However, it’s important that those responsible for delivering your AIMS understand it enough to challenge assumptions and ask informed questions. 

Monitoring and review 

Your AI systems will naturally change over time. It’s vital that your assigned team keeps on top of monitoring and review processes to ensure your system continues to function effectively. 

Good governance for AIMS monitoring includes:  

  • Performance monitoring 
  • Bias testing 
  • Incident management processes 
  • Periodic management review  

Documented decision-making 

Your regulators, clients, suppliers, insurers, investors and other stakeholders may ask you how you govern your AIMS. You should be able to show documentary evidence of the following:  

  • Risk registers 
  • Control records 
  • Approval logs 
  • Training records 
  • Internal audit findings
